Gemini’s publicly traded shares have fallen approximately 80% from their debut, reducing the crypto company’s market value from roughly $4 billion at its peak to about $753 million.
The exchange’s operating metrics have declined alongside its valuation. Second-quarter exchange revenue fell 38% from the previous year to $12.5 million, spot volume dropped 66% to $3.8 billion and assets on the platform declined from $18.2 billion to $8.4 billion, according to CoinDesk.
The lower valuation has created speculation that Gemini could become an acquisition target for a company seeking U.S. regulatory infrastructure. Gemini holds exchange, custody and other approvals that could take a competitor years to reproduce independently.
There is no evidence that an active bid exists. A proposal that Hyperliquid should acquire Gemini originated with an ARK Invest research executive and should not be treated as a confirmed negotiation.
Any transaction would also depend heavily on Cameron and Tyler Winklevoss, who control approximately 94.5% of Gemini’s voting power. Their position could simplify an agreed sale while making an unwanted acquisition effectively impossible.
The wider intelligence signal concerns crypto consolidation. Buyers are increasingly evaluating licenses, institutional relationships and distribution rather than paying primarily for current spot-trading volume.

Gemini’s regulatory estate may now be worth more strategically than its shrinking exchange operation.
That does not establish that the company is for sale or that its licenses can be transferred easily. Regulators can require approvals when control of licensed entities changes.
