OpenPayd Targets Year-End Nasdaq Listing as Stablecoin Revenue Expands

OpenPayd expects to complete its proposed combination with Titan Acquisition Corp. and list on Nasdaq by year-end, subject to SEC effectiveness, shareholder approval and other closing conditions.

Chief executive Iana Dimitrova told CoinDesk that the London payments-infrastructure company plans to begin serving U.S. customers by April 2027. OpenPayd intends to use access to public capital and listed shares to support licensing, technology acquisitions and broader expansion. coindesk.com

The SEC-filed investor presentation reports $73 million in revenue for the year ended April 30, up from $57 million, with $13 million of EBITDA and a $2.8 million net loss. OpenPayd says its annualized transaction volume exceeded $300 billion as of July, but the presentation warns that several operating measures are company-defined and that forecasts are uncertain. sec.gov

Stablecoin orchestration generated $1.99 million of quarterly revenue in the first quarter of fiscal 2027, up from $80,000 a year earlier. That is rapid growth from a very small base. The company also reports more than 1,200 corporate clients and recently brought 43 U.S. state money-transmitter licenses into its group.

The announced transaction implies a potential pro forma equity value of up to $1.1 billion. A registration statement on Form F-4 has been filed and amended, but the SEC has not approved the company, the transaction or the accuracy of management forecasts.

OpenPayd is trying to become a listed bridge between fiat payments and stablecoin infrastructure before its U.S. business is fully operating. The strongest evidence is its audited historical growth and filed transaction documents. The year-end timetable remains management guidance. Effectiveness of the F-4, Titan shareholder approval, redemption levels and the April 2027 U.S. launch are the events that will show whether the plan advances from presentation to execution.
