Aave Labs Proposes Independent Cayman Foundation to Hold Protocol IP

Aave Labs has proposed creating a memberless Cayman Islands foundation company to become the legal owner of key intellectual property associated with the Aave Protocol.

The proposal entered the Aave governance forum on October 2 and remains at the ARFC discussion stage. It has not yet been approved. Aave

Phase 1 would establish the entity and appoint an independent director and supervisor.

It would not immediately transfer Aave’s trademarks, domains or codebase.

Those transfers would occur through later governance phases after the entity legally exists. Aave

Under the proposed structure, the Foundation would eventually hold title to the Aave trademark, primary domains and transferred protocol codebase intellectual property.

Aave governance would retain control over protocol decisions including listings, parameter changes, budgets and service-provider appointments. Aave

The proposed Foundation would have no shareholders or members, while AAVE governance could appoint or remove directors through Aave Improvement Proposals and direct the Foundation’s eventual winding-up. Aave

The governance discussion is not unanimous.

One participant has already argued that Aave should compare the Cayman structure with a Swiss foundation before transferring core intellectual property, citing differences involving statutory purpose protection, taxation and IP commercialization. Aave

This is less about offshore incorporation than about solving a persistent DAO problem: decentralized governance can control software economically without having a conventional legal entity capable of owning trademarks, signing contracts or defending intellectual property in court.

Aave’s proposal attempts to separate those functions.

The Foundation would own and defend assets. Tokenholders would continue governing the protocol.

The most consequential step has not occurred yet. Phase 1 only creates the vehicle. The real governance test begins when Aave is asked to transfer the trademark, domains and codebase IP into it.
