Bitcoin treasury company Metaplanet has sharply reduced a controversial management equity program, cutting the potential number of shares underlying its Series 10 Stock Acquisition Rights by approximately 41% following shareholder criticism over dilution.
Metaplanet disclosed the latest amendment on September 11 through its official investor-relations channel. The company reduced the potential Series 10 share pool from approximately 319.5 million shares to 188.2 million shares by lowering the number of shares represented by each acquisition right from 696 to 410. The filing is listed on Metaplanet’s official disclosures page.
The change addresses a compensation structure that existed before Metaplanet transformed itself into a major publicly traded Bitcoin treasury company. The Series 10 program was originally structured around approximately 20% of Metaplanet’s fully diluted share capital, rather than simply granting management a permanently fixed number of shares.
That distinction became increasingly important as Metaplanet expanded its Bitcoin strategy. The company raised capital through repeated equity issuance to acquire additional Bitcoin, increasing the overall share count. Because the Series 10 structure was linked to fully diluted capital, the potential number of shares available through the management program also expanded.
Shareholders increasingly questioned whether that structure remained aligned with their interests. Capital raised to purchase Bitcoin could increase the company’s total BTC holdings while simultaneously expanding both the ordinary share count and management’s potential equity position. The controversy therefore centered not simply on how much Bitcoin Metaplanet owned, but on how much Bitcoin exposure remained attributable to each diluted share.
Metaplanet had already modified the program in August by fixing the potential Series 10 pool at approximately 319.5 million shares. The company’s August 18 disclosures are available through its official investor-relations archive. The September amendment goes significantly further by actually reducing the number of potential shares rather than merely preventing the pool from continuing to expand.
CEO Simon Gerovich said the company had never intended the compensation structure to reward dilution that produced little or no accretive benefit for shareholders. According to CoinDesk’s reporting on the September 11 filing, Metaplanet estimates that the restructuring eliminates more than $220 million in potential warrant value.
The reduction does not reverse shares already issued through previous exercises. Gerovich retains 64 million shares received through an August 28 exercise and, under the revised structure, retains rights that could result in approximately 49.1 million additional shares. The company’s August 31 filing documenting the partial Series 10 exercise is available through Metaplanet’s official disclosures archive.
Metaplanet is also tightening the timeline surrounding the remaining unvested rights. According to The Block’s reporting on the amended structure, one-third of the remaining unvested rights are scheduled to become exercisable in each of 2029, 2030 and 2031.
The company has also abandoned its previous plan to transfer part of the existing Series 10 rights into a long-term employee incentive vehicle. Instead, Metaplanet says it intends to develop a separate compensation program with assistance from outside compensation advisers.
Metaplanet estimates that the revised structure increases Bitcoin per fully diluted share by approximately 8.8%. That metric is increasingly important for evaluating publicly traded Bitcoin treasury companies because growth in total BTC holdings does not necessarily translate into increased Bitcoin exposure for individual shareholders when acquisitions are financed through substantial equity issuance.
The governance dispute has also unfolded during a difficult period for Metaplanet’s stock. The Block reported that shares fell approximately 17% over two trading sessions during the week as investors reacted to the controversy surrounding dilution and management compensation.
TOKEN RECON ASSESSMENT
Metaplanet’s 41% reduction addresses a significant portion of the dilution problem, but the larger intelligence extends beyond executive compensation.
The real battlefield is Bitcoin per diluted share.
A Bitcoin treasury company can announce larger and larger BTC holdings while simultaneously issuing enough new equity that existing shareholders receive little—or potentially negative—improvement in their proportional Bitcoin exposure.
That means Crypto Scouts evaluating treasury companies should not focus exclusively on:
“How much Bitcoin does the company own?”
The more important question is:
“How much Bitcoin does each diluted share represent, and is that number increasing?”
Metaplanet’s revised Series 10 structure improves that equation by removing a substantial amount of potential future dilution. The company estimates Bitcoin per fully diluted share improves approximately 8.8% as a direct result.
But the restructuring does not undo shares already issued under the previous arrangement.
Token Recon is therefore watching four indicators.
Bitcoin per fully diluted share.
Future capital raises should increase BTC exposure per diluted share rather than simply increasing the size of Metaplanet’s treasury.
Future equity issuance.
Metaplanet’s Bitcoin strategy depends heavily on its ability to raise capital efficiently. Issuing shares works best when the capital raised purchases enough Bitcoin to offset the dilution imposed on existing shareholders.
The replacement compensation program.
Metaplanet has abandoned the proposed employee incentive vehicle and plans to create a new structure with outside advisers. The design of that program will show whether management compensation becomes more directly aligned with shareholder value creation.
Future Series 10 exercises.
The remaining potential shares have been substantially reduced and their exercise schedule pushed further into the future, but they remain part of the company’s diluted capital structure.
The broader lesson applies across the growing Bitcoin treasury sector.
Total Bitcoin holdings are not enough.
For shareholders, the mission is not simply accumulating more Bitcoin.
It is accumulating Bitcoin faster than dilution expands the claim against it.
Metaplanet has now reduced one major source of potential dilution. The next test is whether its future Bitcoin purchases and capital raises consistently increase BTC exposure on a per-share basis.
