Intelligence Brief
AI Financial Corporation sold its indirect wholly owned subsidiary, ALT5 Sigma Canada, to Prime Delta on 3 August for a $12 million secured promissory note and 11,551,750 restricted Prime Delta shares.
The transaction did not deliver $12 million in cash at closing. The first $1 million of note principal is due on 11 August. Prime Delta must pay the remaining $11 million using 20% of post-closing equity financing proceeds, with four annual $2.75 million instalments beginning in August 2027 if the earlier payments do not retire the balance.
The note carries 4% annual interest, is secured by Prime Delta’s assets and has three third-party guarantors.
AI Financial reported that ALT5 Sigma Canada generated $23.5 million in revenue and a $3.3 million loss during 2025.
Separately, AI Financial held 3.58 billion WLFI tokens whose potential transfer depended on a resale registration statement becoming effective. The filing did not establish guaranteed transferability or immediate liquidity.
Strategic Assessment
The sale exchanges an operating subsidiary for claims on future payment and restricted equity. That structure limits the immediate cash benefit.
AI Financial gains a near-term $1 million receivable and retains potential upside from the note, Prime Delta shares and WLFI. It also assumes collection, financing and registration risk.
Prime Delta benefits by acquiring the business without paying most of the stated consideration immediately. Creditors and AI Financial shareholders carry exposure if Prime Delta cannot raise capital or meet later instalments.
